Attention foreign executives: Landmark Constitutional Court ruling on tax debts and travel bans!

By its decision dated March 31, 2026, the Plenum of the Constitutional Court of the Republic of Azerbaijan clarified a critical legal matter directly affecting international corporate executives.

The substance of the ruling: Under domestic law, local company executives with outstanding tax debts can face court-ordered travel restrictions. Addressing ambiguities in judicial practice, the Constitutional Court officially ruled that this restriction applies equally to the heads of branches and representative offices of foreign legal entities.

Consequently, if a foreign company’s local branch fails to settle its tax liabilities or accrued interests on time, the branch manager—regardless of their nationality—can be legally barred from leaving the country. However, the Court emphasized that such measures must be proportionate and based on prima facie evidence of tax evasion.
